Last window for acquisitions under the current SBA rules

Quick heads-up.

The SBA is changing its rules on how much of your own money you need to put into a deal.

Right now, you can buy a business with very little equity of your own. Seller notes and investor money can cover most of it

Starting this fall, that changes. Expect a minimum of 5% equity from you, and possibly 10%. That's real cash in the deal, on a $1M business that's $50K to $100K out of your pocket.

If you want to close an acquisition in 2026 under the current rules, this is the last window.

Two things we're doing about it:

  1. Pushing every active client to close before the end of September.

  2. Working with our SBA banker to lock in deals below the 5% requirement while it's still allowed.

After that, two things change on our side. Our pricing goes up, and we get stricter about who we take on, because the new rules require a bigger down payment.
